Public statement

Updated on October 14th, 2024.

Murex S.A.S. (“Murex”) and its affiliates (collectively, the “Murex group”) are dedicated to upholding the highest standards of integrity and ethics in the countries where they operate. Pursuant to Section 54 (Part 6) of the United Kingdom Modern Slavery Act (2015), this statement outlines the steps Murex takes to ensure forced labor and human trafficking are not present in its supply chain or any part of its business. Murex takes its compliance seriously.

Context on the Murex business and structure

Murex develops, distributes and licenses MX.3, an integrated trading, risk management, processing and post-trade software platform used by capital markets customers. Murex also provides support services and technical assistance to clients.

The Murex group operates globally through subsidiaries in Europe, the Middle East and Africa, Asia-Pacific and the Americas.

The Murex group has offices in 19 countries, including in major financial centers. Murex’s main offices are in Paris, New York, Beirut and Singapore. The location of main regional hubs and spoke offices is accessible on the Murex website at https://www.murex.com/offices.

MX.3 is developed by Murex, a privately held company incorporated in France. With approximately 1,150 team members in Paris, Murex is the largest affiliate.

Murex is a wholly owned subsidiary of Murex International Luxembourg S.A., a Luxembourg company that directly or indirectly controls all Murex group affiliates.

Murex licenses MX.3 software and provides related maintenance services and technical assistance to its customers in the U.K. from its Paris offices, with the assistance of Murex (U.K.) Limited, an affiliate registered in England and Wales, whose head office is located at 108 Cannon Street, London EC4N 6EU.

Murex (U.K.) Limited primarily provides MX.3 software maintenance services and technical assistance to clients.

Murex employment, anti-discrimination and anti-harassment policies

Murex team members are generally highly skilled and educated. They hold business, engineering and/or computer science degrees, among others, and work with Murex under standard employment contracts. All Murex candidates undergo intensive screening by the Murex human resources department and other teams before an offer of employment is made. In some cases, Murex also obtains references from prospective employees and conducts background checks (as appropriate and to the extent permitted by applicable laws).

Internally, Murex’s workforce diversity is considered a core strength. Murex endeavors to provide a safe and open work environment that promotes dialogue, teamwork and collegiality.

Murex is committed to implementing strict anti-discrimination and anti-harassment rules.

Murex Group Policies

The Murex Group has established a formal policy framework, which covers, in particular, the following topics: “Anti-discrimination, antibullying and equal opportunities”, “HR Ethics”, “Anti-bribery” and “Recruitment and selection”.

Such Murex Group policies prohibit, in particular, any form of moral or sexual harassment in the workplace or any form of discrimination.

Awareness Program

In addition, a specific Murex Awareness Program on Discrimination and Harassment is available to all employees of the Murex Group to help our personnel implement our commitments on these topics.

Whistleblowing Procedure

The Murex Group has also implemented a whistleblowing procedure that allows our personnel to report any incident they would witness on a confidential basis and without fear of sanction or discrimination.

Murex partners with system integrators and technology firms

The Murex group has partnership programs with system integrators and technology firms that provide a range of services related to the Murex software program directly to Murex clients and to Murex or its affiliates.

Murex may request that these partners provide services for the direct benefit of Murex or to act as Murex subcontractors in connection with certain projects, particularly those relating to the implementation or Murex software upgrades.

The Murex alliance team is responsible for identifying and selecting such partners and for managing partner relationships.

Potential partners are subject to a vetting process by Murex designed to ensure such partners have the necessary resources, experience and expertise to deliver services that meet Murex professional standards.

The personnel of Murex partners are generally trained information technology specialists who hold computer science or other IT degrees.

Murex suppliers and hardware manufacturers

Apart from those of its partners who provide services to Murex, the largest Murex suppliers are hardware manufacturers and software vendors based in the United States, the United Kingdom or in the European Union that provide the IT equipment, infrastructure and software necessary for the conduct of its business activities by Murex.

  • Other services Murex procures from suppliers essentially relate to:
  • Murex office functionality and operations,
  • accounting, legal and tax advisory,
  • human resources and training-related services,
  • marketing and communications,
  • technical assistance in connection with the support of Murex IT systems, and
  • travel services.

Murex’s selection process for suppliers and partners is supervised by the Procurement department, and/or the office manager for local offices, as applicable, in collaboration with the relevant teams within Murex ordering the services, good or equipment.

Given the nature of Murex business activities, the services provided by Murex to customers do not rely on the procurement of goods or services specifically manufactured or provided to Murex by suppliers established in countries where modern forms of slavery are prevalent.

As part of its procurement policies, Murex requires suppliers to act in strict compliance with applicable labor laws. Murex’ suppliers are expected to comply with the principles set out in the Supplier Code of Conduct of Murex.

Murex regularly verifies that suppliers have fulfilled legal obligations, particularly the payment of taxes and social charges in accordance with applicable regulations in France.

Assessment of risk

Murex business activities, the services it procures and the level of education of most of its employees and contractors give Murex a high degree of confidence that the risk of slavery or human trafficking occurring at the personnel, partner or supply chain level is very low.

Measures taken to prevent modern slavery and human trafficking

In addition to recruitment and procurement procedures, Murex has implemented an internal “HR Ethics policy” which also applies to all its affiliates. Such policy serves as a general framework prohibiting any behavior or action that would violate any applicable law or international treaty on human rights, human trafficking or modern slavery. Murex expects its partners and suppliers to adhere to the same principles that are set forth in its “Supplier Code of Conduct” in relation to human rights, employee health and safety, working conditions, diversity, equity and inclusion, child and forced labor, conflict minerals and compliance with applicable laws (including, in particular, but not limited to labor anti-bribery, antitrust and environmental laws). Murex has thus started to implement a program aiming at requesting its suppliers and partners to formally agree to comply with the Murex Supplier Code of Conduct or other business ethics code substantially reflecting the same requirements.

Murex also places strict obligations on its legal representatives and employees to act in accordance with all applicable labor laws and regulations in France.

Although the level of risk of modern slavery or human trafficking occurring either in its business or in its supply chain is very limited, Murex has implemented a particular “Sustainable Procurement Awareness Program” specifically for buyers employees, aimed in particular at identifying risks or instances of modern slavery, which supplements existing internal policies and procedures applied by Murex human resources and procurement departments.

Annual review

This statement has been approved by Murex’s executive committee (“board”) and signed by the President of Murex.

On an annual basis, the Murex board will review its existing policies and this statement and assess the risk of modern slavery and/or human trafficking and in its supply chain and revise, adjust and update the statement and company policy accordingly. The board will also draw on the expertise of the human resources and the procurement departments for such purposes.

Maroun Eddé

President of Murex S.A.S.

How we use the information we collect

How we use the information we collect depends, in part, on which services you use, how you use them and any preferences communicated to us.

We collect and process information about you only where such processing is lawful under the GDPR and other applicable EU and national laws. The legal basis for data processing depends on the services you use and how you use them. This means that we collect and process your information only where:

  • You give us consent to do so for a specific purpose.
  • The processing satisfies a legitimate interest as defined in the GDPR (which is not overridden by your data protection rights or interests) to improve our services, to market and promote our products and services, or to protect our legal rights and interests.
  • We need to process your data to comply with a legal obligation.
  • The processing of your data is necessary to enable us to take certain necessary steps at your request prior to entering a contract or for the performance of a contract with you.

Below are the specific purposes for which we use the information we collect about you, either with your consent or based on the legitimate interest described above, as applicable:

To provide services and personalize your experience on the websites: We use information about you to provide the services to you (e.g., authenticating you when you log in, administering customer support, allowing access to information dedicated to our clients and partners).

To improve our services: We are always looking for ways to make our services smarter and faster, and more secure, integrated and useful to you. We use collective data about how people interact with our websites to identify trends, usage, activity patterns and areas for integration and improvement of websites. We also test and analyze certain new features with some users before rolling the feature out to all users.

To communicate with you about the services: We use your contact information to send communications via email and within the services, including responding to your comments, questions and requests for information, and sending you technical notices, updates and administrative messages. If you object to personal data processing, we might not be able to fulfil your requests or inform you about changes to services.

To market, promote, and drive engagement with the services: We use your contact information to send communications that may be of specific interest to you as an employee of a company with whom we have or look to develop a business relationship, including by email. These communications are aimed at driving engagement and maximizing the value of services for our clients, prospects and business partners, including information about new features, survey requests, news and events we think may be of interest. We communicate with you about new product offers. We also communicate with you to manage your registration to corporate, online or industry events Murex organizes or sponsors. We may use your email address to provide marketing information, including email marketing on product releases, webinars, events, latest announcements, and so on. To the extent that your consent is needed to allow us to send you such information, we will make sure to collect such consent from you before we send you marketing information. Your personal information, such as job title and company name, may be used to ensure we provide the most relevant content.

To process job applications: We use your contact information and additional information you provided us for recruitment-related processes. We always request your consent to process this information as part of the job application process. If you do not consent, we will not be able to process your application.

Customer services: We use your information to resolve issues you encounter, respond to your requests for assistance, analyze log files, enhance your user experience and improve services.

To protect our legitimate business interests and legal rights: Where required by law or where we believe it is necessary to protect our legal rights, interests and the interests of others, we use information about you in connection with legal claims, compliance, regulatory and audit functions.

How we share the information we collect

We are not in the business of selling information about you and we will not sell your information to advertisers or other third parties for commercial purposes.

We share information we collect with our personnel, with our affiliated companies and, in some cases, with certain subcontractors, to the extent necessary for service fulfillment.

Relevance: Only the relevant personnel of Murex or its affiliates who need to be given access to the information for the purposes mentioned above will be given access to your information. For instance, only the members of the Human Resources department and other relevant departments of Murex involved in a recruitment process may access the personal data you submit on websites when submitting a job application to Murex.

Service providers: From time to time, to provide you with services, we may work with subcontractors that provide website and application development, hosting, maintenance, backup, storage, infrastructure and analysis or other services for us, which may require them to access or use information about you. If a service provider needs to access information about you to perform services on our behalf, they do so under instruction from us and must abide by policies and procedures designed to protect your information and adhere to a strict confidentiality obligation.

International transfers of information we collect: The information that we collect is stored in France. For services purposes, we may share your information with affiliates located outside the European Union, including in countries that may not have equivalent privacy and data protection laws to E.U. regulations on data protection. In this case, we process your information in accordance with standard contractual clauses on data protection, whose terms have been approved by the European Commission, to safeguard the transfer of information we collect from the European Economic Area and Switzerland. We can provide further information upon request. (See the “Contact Us” section.)

Links to third-party sites: The services may include links that direct you to other websites or services whose privacy practices may differ from ours. Your use of and any information you submit to any of those third-party sites is governed by their privacy policies—not this one. You should carefully review the privacy policy of such third parties.

Compliance with enforcement requests and applicable laws/enforcement of our rights: In exceptional circumstances, we may share information about you with a third party if we believe that sharing is reasonably necessary to (a) comply with any applicable law, regulation, legal process or governmental request; (b) enforce our agreements, policies and terms of service; (c) protect the security or integrity of our products and services; and/or (d) protect Murex, our customers or the public from harm or illegal activities.

How we store and secure the information we collect

Murex is committed protecting personal data provided to us in order to preserve confidentiality and prevent any unauthorized access, use, alteration or destruction of personal data.

Information storage and security

The personnel of Murex and its affiliates given access to your personal data for the purposes set out in this privacy policy are bound by a strict confidentiality obligation, whose breach can be sanctioned by disciplinary action and/or other sanctions in accordance with applicable labor laws.

As part of the information security policy implemented by Murex to protect its own sensitive information and its clients’ information, Murex applies organizational and technical measures to ensure appropriate security of the personal data we collect, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, and to ensure that such personal data can only be accessed by the authorized personnel of Murex or its affiliates, and only for the purposes described in this privacy policy.

Though Murex applies sophisticated measures to secure the information system environment where data are stored, no transfer of data via the internet can be absolutely protected from unlawful access by third parties. Communications via the internet may potentially be intercepted, lost or modified. Such risks remain beyond Murex’s reasonable control.

Accordingly, you acknowledge and accept that Murex may not be held liable, for any reason whatsoever, for any damage of whatever nature resulting from the transmission of personal data. All communication to the websites is at your own risk.

How long we keep the information we collect

How long we keep information we collect about you depends on the type of information collected, as described in further detail below. After such time, we will either delete or anonymize your information or, if this is not possible (e.g., the information has been stored in backup archives), we will securely store your information from any further use until deletion is possible.

Account information: We retain your account information unless and until you delete your account. We also retain some of your information as necessary to comply with our legal obligations, to resolve disputes, to enforce our agreements, to support business operations and to continue to develop and improve our services.

Information you share on the services: If your account is deactivated or disabled, some of your information and the content you have provided will remain to allow your team members or other users in your organization to make full use of services. For example, if a support case is still not resolved, the information submitted in the case will remain.

Marketing information: If you have elected to receive marketing emails from us, we retain information about your marketing preferences unless you specifically ask us to delete such information.

How to access and control your information

You are able to set certain information preferences, access and control your information. Below is a summary of those choices and how to exercise them, as well as any limitations. We will respond to requests about this within a reasonable timeframe.

Control of your information and withdrawal of your consent

Below are choices you have to control your information or where you want to withdraw your consent to information processing.

Opt-out of communications: You may opt out of receiving communications from us about news, events and products and services by updating your preferences within our preference center or by contacting us to have your contact information removed from our email list. Even after you opt out of receiving messages from us, you will continue to receive operational messages from us regarding our services.

Turn off cookie controls: Relevant browser-based cookie controls are described in our Cookies and Tracking Notice at the end of this privacy policy.

Send "Do Not Track" signals: Some browsers have incorporated "Do Not Track" (DNT) features that can send a signal to the websites you visit indicating you do not wish to be tracked. Because there is not yet a common understanding of how to interpret the DNT signal, our services do not currently respond to browser DNT signals.

Your other rights regarding your data

You have the right to request a copy of your information, to object to our use of your information (including for marketing purposes), to request the deletion or correction of your information or otherwise to request that our processing of your information be restricted. Please note that we may not be able to provide services to you if we cannot access or use your information.

You have the right to lodge a complaint with the CNIL (www.cnil.fr), the French data privacy supervisory authority, if you believe Murex has acted in violation of applicable laws and regulations on data privacy with respect to the personal data you have submitted through services and/or that Murex has failed to address a personal data request.

You may visit the “Contact Us” section to request assistance.

Links

The Website may include hyperlinks to other websites or Internet sources not edited or monitored by the EDITOR. The EDITOR cannot exercise any control over such external sources and in particular does not verify their accessibility, their direct or indirect content (advertising, products, services, etc.), their actions or their privacy and personal data protection policy.

The EDITOR may not be deemed to have approved such websites and/or their content. Accordingly, the EDITOR may not be held liable in any manner whatsoever in the event of proven or alleged damage caused directly or indirectly by access to and/or use of such external sources and content or by trust placed in the content of such external sources. Use of such hyperlinks is entirely at your own risk. The EDITOR bears no responsibility for purchases made via such websites; the terms of use of such websites shall apply in full.

The creation of hyperlinks on the Website is prohibited except with the EDITOR's prior, express and written authorisation. Authorisation requests should be sent to the following address (mkg@murex.com). Such authorisation may be withdrawn at any time, without prior notice or compensation of any kind.

Disclaimer/Waiver of liability

The EDITOR shall endeavour to maintain the Website accessible but is not bound by any obligation to achieve results in this respect. Access to the Website may thus be interrupted without prior notice, in particular for maintenance, security or updating purposes. The EDITOR may not be held liable if for any reason access to the Website is interrupted, regardless of the time and length of the interruption.

The EDITOR shall ensure that the information accessible on its Website is accurate, complete, precise and up-to-date. However, such information is provided 'as is' and 'when available'.

Under no circumstances may the EDITOR be held liable, for any reason whatsoever, for any damage, either direct or indirect, material or moral, caused by, resulting from or linked to, access or lack of access to the Website, use of the Website and its content or any information whatsoever obtained either directly or indirectly therefrom, even if the EDITOR was alerted in advance to the possibility of such damage. In particular, the EDITOR may not be held liable in the event of damage such as loss of use, business, profits or data.

Under no circumstances may the EDITOR be required to bear the cost should you need to seek assistance or have all or part of your hardware, equipment or databases repaired following access to the Website or use of its content. The EDITOR thus excludes all liability resulting from your use thereof.

No implied waiver/partial invalidity

The fact that the EDITOR has not enforced any one of the clauses under the Terms of Use may under no circumstances be construed as a waiver of the EDITOR's rights pursuant to said clause, nor as a waiver concerning the application of any other clause.

In the event that any one of the clauses under these Terms of Use is found to be null and void or deemed to be unwritten or invalid, such clause shall be considered as separate from the other clauses of the Terms of Use and shall not affect their validity.
